016 steps, in order

Nebraska asks for one formation filing. Everything else on this list is either done before that filing or follows from it.

  1. Pick a name the state will accept. It has to be distinguishable from names already on the Nebraska register and include an LLC designator. The Nebraska Secretary of State has a name search on its website[3].
  2. Name a registered agent. Under Neb. Rev. Stat. § 21-113, the registered agent can be A Nebraska resident, which can be a member of the company, or a business authorized to do business in Nebraska.[4] A member or manager who lives in Nebraska can be the registered agent as an individual.
  3. Submit Certificate of Organization and pay $100. The Nebraska Secretary of State reviews the filing; the LLC exists once it is accepted[2].
  4. Write an operating agreement. It sets out ownership and how decisions are made. It stays with the company's records and is not part of the state filing.
  5. Request an EIN. This federal tax number comes from the IRS, not from Nebraska, and most banks ask for it before opening an account.
  6. Mark the report deadline. Nebraska LLCs file the Biennial Report every two years ($25)[5]. The deadline: April 1 of each odd-numbered year[6].

These are IRS employer-ID applications, so they include sole proprietors and corporations as well as LLCs. Nebraska does not publish a comparable monthly LLC count.

03Who can submit the filing

Mainstay Filing files Nebraska LLCs for $199 a year, with the $100 state fee added at cost[1]. Included: the registered agent for the year, the EIN application, and the Biennial Report whenever it falls due.

The Nebraska Secretary of State accepts filings from owners directly. Its $100 fee does not change based on who submits the document.

04The fee, in context

At $100, Nebraska's fee is equal to the 50-state median of $100. Among the other states, 16 states charge less and 24 charge more.
